1. Agreement to Terms

By purchasing, accessing, or using any website, CRM, automation, marketing, lead follow-up, missed-call text-back, AI assistant, onboarding, support, or related service provided by AVS Holdings LLC d/b/a UnifiedBizTools ("UnifiedBizTools," "Company," "we," "us," or "our"), you agree to these Terms of Service ("Terms"). If you do not agree, do not purchase or use the Services.

2. Description of Services

UnifiedBizTools provides subscription-based AI-enabled smart website setup, CRM configuration, website-to-text capture, automation, follow-up systems, missed-call text-back, booking tools, reporting, a website voice assistant and virtual assistant phone answering within the plan's included monthly minutes, optional AI Conversations, templates, and related managed services for local businesses. Some Services may be delivered through third-party platforms, including CRM and automation platforms, payment processors, phone and SMS providers, email providers, hosting providers, AI providers, and other connected tools.

Specific features, onboarding scope, support level, and deliverables depend on the plan, proposal, checkout page, invoice, or written order you accepted.

3. Subscriptions, First-Month Money-Back Guarantee, and Billing

Recurring billing: Subscriptions renew automatically on the monthly or otherwise stated billing cycle. By affirmatively accepting the checkout terms and submitting payment information, you authorize UnifiedBizTools and its payment processor to charge the first service period, recurring subscription fees, applicable taxes, and separately authorized add-ons or pass-through costs.

Smart Website + Virtual Assistant: The standard base plan is $300 per month and includes 300 minutes of virtual assistant talk time each month across the website voice assistant and phone answering. The one-time setup fee is $2,000 and is currently waived for new accounts that enroll during the promotional period in effect at enrollment. Service, build work, onboarding, and the guarantee period begin when enrollment succeeds. Checkout and confirmation must show the exact refund deadline, its time zone, and the exact first renewal date. The first renewal must be scheduled strictly after the disclosed guarantee deadline.

30-day money-back guarantee: If you complete cancellation within 30 calendar days after enrollment succeeds, UnifiedBizTools will stop the next renewal and refund the first base-plan charge in full. We will not deduct our payment-processing fee from your refund. We will send written cancellation and refund confirmation and retain the request and refund records.

The guarantee is a fit and satisfaction off-ramp, not an outcome guarantee. It does not promise calls, leads, jobs, appointments, revenue, reviews, rankings, delivery timing, messaging or carrier approval, or another business result. The public guarantee applies only to the first base-plan service fee.

Separate services and charges: AI Conversations, expressly accepted higher-capacity Virtual Assistant tiers, domains, premium integrations, and other pass-through costs are separate unless an accepted written order says otherwise. Their price, authorization, limits, and refund treatment must be disclosed before purchase. A $199 per month Smart Website downshift (without the virtual assistant) may be offered only when specifically stated.

Existing accepted orders: Customers who previously accepted different billing or promotional terms remain governed by their accepted checkout, order, and agreement. These terms do not silently migrate an existing customer or authorize an additional charge.

Failed payments: If the initial payment fails, no paid-client or guarantee-active state begins. If a later payment fails or an account becomes past due, we may retry the charge, notify you, pause onboarding, suspend services, disable automations, restrict account access, remove connected services, or cancel the account until amounts due are paid.

The person authorizing enrollment, signing an order, or accepting checkout terms represents that they are authorized to bind the business or entity receiving the Services.

4. Cancellation, Suspension, and Refunds

You may cancel by emailing info@unifiedbiztools.com or using another cancellation method we make available. An emailed request is effective when received. A request received within the exact guarantee deadline and time zone shown at checkout qualifies for the full first-month base-fee refund and stops the next renewal. If a renewal is captured despite a timely request, we will reverse it. A duplicate request cannot create a duplicate refund.

After the first-month guarantee closes, subscription payments are non-refundable unless a checkout page, accepted order, or applicable law states otherwise, and access normally continues through the paid billing period. Usage fees, separately purchased assets, pass-through costs, and optional add-ons are not covered by the base-plan guarantee unless their accepted written terms expressly say so.

If UnifiedBizTools causes a material agreed delivery delay, we will extend both the guarantee deadline and renewal date fairly and send revised written dates before the renewal runs. Carrier-controlled delays receive a documented manual decision. Client-caused delays do not change the original dates unless UnifiedBizTools confirms an extension in writing.

We may suspend or terminate Services immediately for nonpayment, abuse, unlawful use, spam, platform policy violations, chargebacks, security risk, or conduct that may harm our systems, reputation, clients, vendors, or platform partners.

5. Customer Data and Platform Materials

Your business data: You retain ownership of your business name, customer records, contact lists, notes, uploaded content, and other data you provide to us or enter into the platform, subject to your obligations under these Terms and applicable law.

Our platform materials: UnifiedBizTools retains ownership of its software setup, CRM configurations, snapshots, workflow structures, automations, prompts, templates, website designs, documentation, internal processes, implementation methods, and other Company-created materials. During an active subscription, you receive a limited, non-exclusive, non-transferable license to use those materials for your own business operations.

After cancellation: After cancellation, suspension, or termination, we may disable access to Company-owned platform materials and stop operating websites, workflows, automations, numbers, email services, AI assistants, or connected tools. You may request a reasonable export of your customer data within 30 days after cancellation, subject to technical limitations, platform policies, unpaid balances, and legal requirements.

If we manage a CRM platform sub-account or similar third-party account for you, available data export, account transfer, phone number transfer, domain transfer, workflow access, and configuration access are subject to platform rules, technical limitations, unpaid balances, and our ownership rights in Company-created templates, workflows, snapshots, prompts, and implementation methods.

6. Client Responsibilities and Compliance

You are responsible for:

  • Providing accurate business, billing, and contact information.
  • Reviewing all website, marketing, AI-generated, SMS, email, and automation content before relying on it.
  • Obtaining lawful consent for communications sent to your customers, leads, or contacts.
  • Complying with applicable advertising, privacy, telemarketing, SMS, email, industry, and consumer-protection laws.
  • Maintaining your own privacy policy, cookie/tracking notices, SMS consent language, and opt-out processes where required.
  • Keeping login credentials secure and limiting access to authorized users.
  • Ensuring that your products, services, claims, offers, testimonials, and business operations are lawful and accurate.

7. Acceptable Use

You may not use the Services to:

  • Send spam, unlawful messages, deceptive marketing, or communications without required consent.
  • Upload malware, scrape, attack, overload, or interfere with any platform or connected service.
  • Reverse-engineer, copy, resell, sublicense, or redistribute our templates, workflows, snapshots, or configurations.
  • Violate the policies of any CRM, payment, phone, SMS, email, advertising, carrier, app marketplace, hosting, or other third-party platform used to deliver the Services.
  • Use the Services for illegal, fraudulent, harmful, or abusive activity.

8. Third-Party Platforms

Many Services depend on third-party platforms that we do not control. Their features, pricing, approval requirements, policies, availability, deliverability, and enforcement decisions may change. We are not responsible for outages, suspensions, delays, denials, message filtering, payment holds, policy enforcement, or data-processing decisions made by third-party providers.

These platforms may include CRM and automation platforms, payment processors, phone and SMS carriers, email providers, website analytics providers, advertising platforms, hosting providers, DNS/domain providers, AI providers, and integration providers.

9. AI, Automation, and No Guaranteed Results

AI tools, workflows, lead follow-up systems, websites, funnels, and automations are provided to support business operations. They may produce errors, incomplete information, delays, or unexpected outputs. You are responsible for reviewing outputs and monitoring your account.

We do not guarantee specific leads, revenue, rankings, appointments, approvals, conversion rates, deliverability, or business outcomes.

The Services are not designed for emergency communications, regulated professional advice, medical advice, legal advice, financial advice, or guaranteed lead capture. You remain responsible for monitoring your business and responding to customers.

10. SMS and Email Communications

If you opt in to receive text messages from UnifiedBizTools, message frequency varies and message and data rates may apply. Reply STOP to opt out or HELP for help. See our SMS Terms.

If you use the Services to send messages to your own customers, leads, or contacts, you are responsible for consent, message content, opt-out handling, unsubscribe handling, list hygiene, and compliance with applicable SMS, telemarketing, email, carrier, and platform rules.

11. Intellectual Property

UnifiedBizTools, our logos, product names, templates, website designs, workflows, automations, prompts, copy structures, documentation, snapshots, and other Company materials are owned by the Company or its licensors. No ownership rights transfer to you except as expressly stated in writing.

12. Limitation of Liability

To the maximum extent permitted by law, the Company will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, lost goodwill, business interruption, or lost opportunities.

Our total aggregate liability for claims arising from or related to the Services will not exceed the amounts you paid to UnifiedBizTools for the Services during the three (3) months before the event giving rise to the claim.

13. Indemnification

You agree to defend, indemnify, and hold harmless the Company, its owners, employees, contractors, and agents from claims, liabilities, damages, losses, and expenses, including reasonable attorney fees, arising from your business, your data, your marketing, your communications, your use of the Services, your violation of these Terms, your violation of law, or your violation of third-party rights or platform policies.

14. Client Agreement

Paying and managed-service clients may also be subject to our Client SaaS and Managed Services Agreement, an order form, checkout terms, invoice terms, or written proposal. If there is a conflict, the more specific signed or accepted order terms control for that service.

15. Changes to These Terms

We may update these Terms from time to time. Material changes may be communicated by email, website notice, platform notice, invoice language, or checkout language. Continued use of the Services after changes take effect means you accept the updated Terms.

16. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Any disputes will be resolved in the state or federal courts located in California unless applicable law requires otherwise.
