Terms of Service

1. Agreement to Terms

By accessing or using the TradeFlow platform and related services ("Services") provided by UnifiedBiz Tools LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Services.

2. Description of Services

TradeFlow is a SaaS platform built for licensed trade contractors (electricians, plumbers, HVAC technicians, and related trades). Services include, but are not limited to: CRM and customer pipeline management, permit auto-fill tools, AI-powered business agents, automated follow-up workflows, website hosting, estimates and invoicing, and related business operations tools.

Services are delivered through a GoHighLevel ("GHL") sub-account provisioned and configured by UnifiedBiz Tools.

3. Subscription and Billing

Recurring billing: All subscriptions are billed monthly on a recurring basis via Stripe. By subscribing, you authorize automatic monthly charges to your payment method on file.

Auto-renewal: Your subscription automatically renews each billing cycle unless you cancel. You will be charged the then-current rate at each renewal.

Setup fees: A one-time setup fee may apply depending on your selected service tier. This fee is non-refundable once onboarding has begun.

Cancellation: You may cancel your subscription at any time by providing 30 days written notice to info@unifiedbiztools.com. No refunds will be issued for partial billing periods. After cancellation, your access to the platform will continue through the end of your current billing cycle.

4. Data Ownership and GHL Sub-Accounts

Your data: You retain full ownership of all business data you input into the platform, including customer records, notes, communications, and uploaded files. Upon cancellation, you may request an export of your data within 90 days.

Our templates and snapshots: The CRM configurations, workflow templates, snapshot structures, permit form templates, website templates, and other system configurations created by UnifiedBiz Tools remain the intellectual property of UnifiedBiz Tools LLC. You are granted a non-exclusive, non-transferable license to use these configurations for the duration of your active subscription.

5. AI Agent Usage

The TradeFlow AI Agent is provided as a productivity tool to assist with business operations. By using the AI Agent, you acknowledge and agree to the following:

• AI-generated content, responses, and actions are provided on an "as-is" basis and may contain errors or inaccuracies.
• The AI Agent does not provide legal, financial, or professional trade advice.
• You are solely responsible for reviewing and verifying all AI-generated output before acting on it.
• We do not guarantee specific outcomes, revenue increases, lead conversions, or business results from using the AI Agent.
• AI capabilities may change, improve, or be modified over time without prior notice.

6. Permitted Use

You may use the Services for lawful business operations related to your trade contracting business. You agree not to:

• Resell, sublicense, or redistribute access to the platform without written consent.
• Use the Services for any illegal, fraudulent, or harmful purpose.
• Attempt to reverse-engineer, copy, or extract our proprietary templates, workflows, or configurations.
• Interfere with or disrupt the Services, servers, or networks connected to the platform.
• Share login credentials with unauthorized third parties.
• Use the AI Agent to generate content that is deceptive, harmful, or violates applicable law.

7. Intellectual Property

The TradeFlow name, UnifiedBiz Tools brand, logos, software, templates, workflows, website designs, and all related intellectual property are owned by UnifiedBiz Tools LLC. Nothing in these Terms grants you ownership of any Company IP.

You retain ownership of your business name, branding, customer data, and any original content you create within the platform.

8. Service Availability

We strive to maintain reliable uptime for all Services. However, we do not guarantee uninterrupted or error-free access. The platform may experience downtime for maintenance, updates, or circumstances beyond our reasonable control, including third-party service outages (GoHighLevel, Stripe, hosting providers, etc.).

We will make reasonable efforts to notify you of planned maintenance in advance when possible.

9. Limitation of Liability

To the maximum extent permitted by law, UnifiedBiz Tools LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising from your use of or inability to use the Services.

Our total aggregate liability for any claims arising from these Terms or your use of the Services shall not exceed the total fees paid by you to UnifiedBiz Tools in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless UnifiedBiz Tools LLC, its officers, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorney fees) arising from: (a) your use of the Services, (b) your violation of these Terms, (c) your violation of any applicable law or regulation, or (d) any content or data you submit through the platform.

11. Modifications to Terms

We reserve the right to update these Terms at any time. Material changes will be communicated via email or through the platform. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Sacramento County, California.
